NAPTURED TERMS OF SERVICE
Effective Date: March 24, 2026
Governing Law: Delaware
Entity: Naptured, Inc. (“Naptured,” “we,” “our,” “us”)
These Terms of Service (“Terms”) govern your access to and use of the Naptured platform, website, web-based mobile experience, and related features (collectively, the “Platform”). By creating an account or using the Platform, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not use the Platform.
1. NATURE OF THE PLATFORM
1.1 Technology Platform Only.
Naptured is a technology platform that facilitates scheduling, matching, communication, and payment-routing between users. Naptured is not a childcare provider, employer, staffing agency, placement service, or supervisory entity. Naptured does not license, certify, supervise, or ensure compliance with state or local childcare regulations. All care and related services are performed exclusively by independent users of the Platform.
1.2 No Control Over Services.
Naptured does not direct or control the manner, timing, qualifications, or legality of services provided by caregivers (“Angels”) or Daycares. Naptured does not guarantee safety, capability, outcomes, or suitability of any user.
2. ELIGIBILITY AND ACCOUNT REQUIREMENTS
2.1 Minimum Age.
Use of the Platform is limited to individuals 18 years of age or older.
2.2 Accurate Information.
You must provide truthful, complete, and current information when creating or maintaining an account.
2.3 One Account Rule.
Users may maintain only one account. Duplicate, false, or impersonated accounts are prohibited.
2.4 Account Removal.
Naptured may deny access or remove accounts previously suspended or terminated.
3. USER ROLES
Users may act in one or more of the following roles:
3.1 Parents.
Adults who request childcare or related support services.
3.2 Angels (Caregivers).
Adults who provide care or support services as independent contractors, not employees or representatives of Naptured.
3.3 Daycares.
Business entities providing childcare services independently from Naptured’s operations.
4. INDEPENDENT CONTRACTOR STATUS
4.1 User Responsibility.
Angels and Daycares operate as independent businesses responsible for their own tax obligations, legal compliance, training, and certifications.
4.2 No Employment Relationship.
Nothing in these Terms shall be construed to create an employment, agency, joint venture, or franchisor–franchisee relationship between Naptured and any user.
5. SAFE ENVIRONMENT AND RIGHT TO DECLINE CARE
5.1 Parent Responsibilities.
Parents agree to provide:
(a) a safe, hazard-free environment;
(b) accurate care notes, including allergies, medical needs, sensory or behavioral considerations;
(c) disclosure of pets, hazards, or weapons; and
(d) sober, stable, and safe conditions at the time of care.
(e) Parents acknowledge that selecting a caregiver involves inherent risks and that they are solely responsible for determining suitability.
5.2 Angel Rights.
Angels may decline or discontinue care if they believe conditions are unsafe, unlawful, discriminatory, or otherwise inappropriate.
5.3 Safety Enforcement.
Naptured may remove users whose conduct endangers children or other users.
6. BACKGROUND CHECKS AND IDENTITY VERIFICATION
6.1 Third-Party Providers.
Background checks and identity verification (“IDV”) may be conducted through providers such as Checkr and Stripe Identity. These services manage all notices, disclosures, and consents directly with users.
6.2 Information Received.
Naptured receives limited results (e.g., pass/fail or badge tier) and does not receive underlying sensitive records.
6.3 Consider Outcomes.
A “Consider” background check result is not grounds for account removal; it only affects whether a background check badge is shown. A completed background check does not guarantee safety, predict behavior, or replace independent judgment by parents or caregivers.
6.4 Prohibited Conduct.
Naptured may immediately terminate accounts where users:
(a) provide false information;
(b) attempt to verify using another person’s identity; or
(c) interfere with or manipulate the screening process.
7. TRUST SIGNALS, RATINGS, AND REPUTATION
7.1 Ratings and Kudos.
After completed bookings or cancellations within 24 hours, both users provide a star rating and may select kudos badges. No text reviews exist on the Platform.
7.2 Platform Adjustments.
Naptured may adjust, remove, or recalculate trust indicators to protect system integrity.
7.3 Prohibited Manipulation.
Users may not:
(a) create duplicate or coordinated accounts;
(b) initiate fake or self-generated bookings;
(c) artificially inflate ratings;
(d) bias trust algorithms; or
(e) generate false demand or cancellations.
7.4 Consequences.
Violations may result in immediate termination and forfeiture of referral earnings.
8. CANCELLATIONS
8.1 No Penalties.
Users may cancel bookings at any time without financial penalty.
8.2 Ratings Trigger.
Cancellations within 24 hours automatically trigger two-way ratings that may affect trust signals, matching, and visibility.
8.3 Abusive Patterns.
Repeated or abusive cancellation behavior may lead to account action.
9. PAYMENTS AND FINANCIAL TERMS
9.1 Payment Processing.
Payments and payouts are processed via Stripe Payments, Stripe Billing, Stripe Connect, and Stripe Tax. Naptured does not store or process full card information.
9.2 Parent Charges.
Parents authorize pre-payment upon booking and are charged after care is completed.
9.3 Angel and Daycare Payouts.
Payouts are made to connected Stripe accounts. Users are solely responsible for taxes.
9.4 Gifted Credit.
Gifted credit is nonrefundable and does not expire.
9.5 Refunds.
Refunds are permitted only in cases of:
(a) duplicate charges;
(b) technical errors; or
(c) circumstances determined at Naptured’s discretion.
(d) Refund determinations will be made in good faith and in a commercially reasonable manner.
10. REFERRAL PROGRAM (TWO-TIER LIFETIME)
10.1 Earning Structure.
Users may earn referral rewards on subscription revenue and completed bookings generated by referred users.
10.2 Abuse and Discretion.
Naptured may withhold, suspend, or terminate referral rewards if it determines, in its sole discretion, that a user engaged in fraud, abuse, manipulation, misuse of incentives, creation of fake accounts, or similar conduct.
10.3 Modification Rights.
Naptured may modify the referral program prospectively with notice. Previously earned referral rights will be honored.
11. MESSAGING RULES
11.1 Prohibited Use.
Users may not use the Platform’s messaging tools to:
(a) harass, threaten, or abuse;
(b) send explicit or discriminatory content;
(c) engage in hate speech;
(d) solicit off-platform services involving minors;
(e) send spam or commercial solicitations; or
(f) coordinate review or ranking manipulation.
11.2 Safety Review.
Naptured may review messages solely for trust and safety enforcement.
12. DAYCARES
12.1 Platform vs. Premises Rules.
Naptured governs bookings, payments, cancellations, ratings, and communications. Daycares govern their own on-premises rules, policies, and safety requirements.
12.2 Network Management.
Daycares may remove parents from their networks at their discretion.
13. HAVEN (AI COMPANION) – DISCLAIMERS
13.1 Nature of Haven.
Haven is a generative AI feature offering informational and emotional-support content. Haven is not a medical, psychological, legal, diagnostic, emergency, or childcare authority.
13.2 No Reliance.
Users acknowledge that Haven may produce inaccurate, incomplete, or outdated outputs and may not detect emergencies, abuse, danger, or harm.
13.3 Emergency Situations.
In any emergency, users must contact 911, 988, or appropriate local authorities. Haven must not be used for crisis guidance.
13.4 Limitation of Liability.
Naptured disclaims all liability, to the fullest extent permitted by law, arising from user reliance on Haven content.
13.5 Regulatory Flexibility.
Naptured may modify, restrict, or discontinue Haven based on safety, regulatory guidance, legal requirements, or technical limitations.
14. OFF-PLATFORM ACTIVITY
14.1 User Choice.
Parents and Angels may interact off-platform at their discretion. Naptured is not responsible for any off-platform communications, services, payments, or disputes.
14.2 Circumvention.
Users may not use the Platform to solicit off-platform bookings for the purpose of avoiding service fees.
15. PRIVACY
15.1 Privacy Policy.
Use of the Platform is governed by the Naptured Privacy Policy, which forms part of these Terms.
15.2 Data Retention.
Naptured retains messages for 2 years, Haven conversations for approximately 18 months, booking data for 7 years, and other data as legally required. Naptured does not store government-issued IDs or background-check documents.
16. ACCOUNT TERMINATION
16.1 Termination Rights.
Naptured may suspend or terminate accounts for:
(a) child safety concerns;
(b) false information or identity fraud;
(c) harassment, abuse, or discrimination;
(d) manipulation of trust or ranking systems;
(e) financial fraud or chargebacks;
(f) repeated no-shows;
(g) illegal activity; or
(h) violations of these Terms.
16.2 Withholding Funds.
Naptured may withhold payouts during investigations and may retain funds in cases involving fraud or abuse.
16.3 Final Decisions.
Termination decisions are final.
17. INTELLECTUAL PROPERTY
17.1 Ownership.
Naptured owns all rights in the Platform, including interface designs, Hope Cards, trademarks, and other content.
17.2 User Permissions.
Users may create, edit, download, and share Hope Cards for personal use.
17.3 Restrictions.
Users may not:
(a) reproduce or reverse engineer the Platform;
(b) use Naptured trademarks without authorization;
(c) represent Hope Cards as medical or professional advice.
18. DISCLAIMERS AND LIMITATIONS OF LIABILITY
18.1 “As-Is” Platform.
Naptured provides the Platform on an “as is” and “as available” basis.
18.2 Warranty Disclaimer.
To the fullest extent permitted by law, Naptured disclaims all warranties, express or implied.
18.3 Liability Limit.
Naptured is not liable for injuries, misconduct, disputes, accidents, or damages arising from user interactions. Total liability shall not exceed the amount paid by the user in the prior 12 months.
18.4 Third-Party Services.
Naptured is not responsible for the conduct or performance of third-party providers, including Stripe, Checkr, OneSignal, OpenAI, and similar services.
19. DISPUTE RESOLUTION AND ARBITRATION
19.1 Arbitration Requirement.
Except where prohibited, disputes between you and Naptured will be resolved through binding arbitration under Delaware law. This arbitration agreement is governed by the Federal Arbitration Act. The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this arbitration agreement. Arbitration is mandatory, and the exclusive means for resolving a dispute under the Terms, without an opt-out for either party.
19.2 Waivers.
Users waive rights to jury trials, class actions, and consolidated proceedings.
19.3 Small Claims Exception.
Users may bring qualifying claims in small claims court.
19.4 Equitable Relief; Intellectual Property.
Notwithstanding the foregoing arbitration requirement, either party may seek temporary, preliminary, or permanent injunctive relief, or other equitable relief, in the state or federal courts located in the State of Delaware, including the Delaware Court of Chancery, to prevent or enjoin the actual or threatened infringement, misappropriation, or violation of its intellectual-property rights, confidential information, or proprietary rights, without the necessity of posting a bond. The parties agree that such courts shall have exclusive jurisdiction over such claims.
20. UPDATES TO THESE TERMS
20.1 Changes.
Naptured may update these Terms periodically. Material updates will be provided with at least 30 days' notice. Minor updates take effect when posted.
20.2 Continued Use.
Your continued use of the Platform after updates constitutes acceptance.
